ARTICLES OF INCORPORATION
OF THE MARIN (CALIFORNIA) BRANCH OF
THE AMERICAN ASSOCIATION OF UNIVERSITY WOMEN, INC.

KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned, Jean Ecker, President and Maurine Gazzola, Recording Secretary, of the American Association of University Women, Marin Branch, an unincorporated association, have this day executed these Articles of Incorporation for the purpose of incorporating said unincorporated association as a non-profit corporation under the laws of the State of California.

AND WE DO HEREBY CERTIFY:

FIRST: That the name of this non-profit organization is

THE MARIN (CALIFORNIA) BRANCH OF THE
AMERICAN ASSOCIATION OF UNIVERSITY WOMEN, INC.

SECOND: That the purposes for which this non-profit corporation is formed are the following:

  1. To unite the alumnae of colleges and universities which have been approved by the American Association of University Women, for practical educational work; to concentrate and increase their influence in the community for the solution of social and civic problems; to participate in the development and promotion of the policies and programs of the American Association of University Women; to contribute to its growth and influence; and to cooperate in its state, division and regional work.
  2. To buy, lease, purchase, and otherwise acquire; to hold, improve, develop, lease, sell, transfer in trust, mortgage, encumber, hypothecate, and otherwise deal in personal property and real estate, improved and unimproved and any and all interests therein.
  3. To hold the property, funds, and assets of the Marin (California) Branch of the American Association of University Women for the joint use of all the members as long as that branch shall be recognized by the Association. No member or group of members shall have any severable right to all or any part of such property.
  4. To contract and be contracted with.
  5. To receive property by donation, devise, or bequest, subject to the laws regulating the transfer of property by will.
  6. To act as trustee under any trust incidental to the principal objects of this Corporation and to receive, hold, administer, and expend funds and property subject to such trust.
  7. To borrow money, contract debts, issue bonds, promissory notes, bills of exchange, debenture, and other obligations and evidence of indebtedness of all kinds, whether secured by mortgage, pledge, or otherwise, and to mortgage, convey in trust as security, hypothecate, or pledge, all or any part of the property, real or personal, rights and interests of said Corporation.

THIRD: That it is a Corporation organized pursuant to Part I, Division 2 of Title I of the
Corporation Code and does not contemplate the Distribution of gains, profits, or dividends to the members thereof.

FOURTH: That the County in the State of California in which the principal office for the transaction of the business of the Corporation is located is Marin County.
FIFTH: That there shall be no shares in this non-profit Corporation.
